Special Meeting of the Salt Pond Homeowners Association

August, 11, 2007

 

A special meeting of the Salt Pond Homeowners Association (SPHA) was called to order at 10 am on Saturday, August 11, 2007 at the Salt Pond Community Center, Bethany Beach, DE. 

 

As stated in the July 2007 notice to owners announcing the meeting, the purpose was to consider and vote on three Resolutions relating to (i) the option to purchase the Salt Pond golf course land and business, (ii) a special assessment to pay for the purchase and (iii) the taking of appropriate steps to secure supplemental financing for such purpose.

 

Bill Kester, President of the SPHA Board of Directors, presided as Chair of the meeting.  Along with Bill Kester, Board members Dick Crawford, Chuck Gularson and Bev Thierwechter, were seated in front of the audience available to answer questions. 

 

General discussion focused on the Board’s recommendation to exercise the option for SPHA to purchase the Salt Pond golf course.  Board members answered questions from owners on the proposed special assessment and other possible options for financing the purchase.  One owner requested and was promised a copy of the financial analyses done by SPHA consultant, Helen Bowers.  Another owner asked about the status of the 1994 Consent Decree (CD) related to the Salt Pond ponds and wetlands.  The Board reported that the Corps of Engineers and Department of Natural Resources and Environmental Control are satisfied with the developer’s efforts to correct environmental violations in mitigation sites within Salt Pond ponds and wetlands.  As a result, the Board expects the CD to be dismissed in the near future and no further impact on the Salt Pond or SPHA.

 

After the discussion, Bill Kester called for the vote of any owners who had not voted previously by proxy.  Ballots were provided to those owners.  Legum and Norman then added the ballot votes to proxy votes already collected.  (Proxies were available immediately after the July 14, 2007 special informational homeowners meeting and were required to be returned to L&N by August 11, 2007.)

 

After the tally was completed, President Bill Kester announced the results: 439 yeas and 11 nays.  Thus, the three resolutions authorizing the SPHA Board to exercise the option to purchase the Salt Pond golf course on behalf of SPHA were adopted, with enthusiastic applause from the audience of owners.

 

The meeting was adjourned at 11:30 am.
